1. Introduction

Welcome to Skhedio. These Terms of Service ("Terms") govern your access to and use of the Skhedio platform, including our website, mobile applications, and related services (collectively, the "Service").

Skhedio provides a comprehensive booking and business management platform for service-based businesses such as salons, spas, barbershops, wellness centers, and similar establishments ("Business Users"), as well as their customers ("End Users").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Service.

2. Feedback and Information

We welcome your feedback, suggestions, and ideas about our Service. By submitting feedback, you grant Skhedio a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, modify, publish, and incorporate such feedback into our Service without any obligation to compensate you.

Any information you provide through our Service, including during account registration, booking requests, or communications with business partners, should be accurate and up-to-date. You are responsible for maintaining the accuracy of your information.

3. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, disclose, and protect your personal information when you use our Service.

By using Skhedio, you consent to the collection and use of information as described in our Privacy Policy. Business Users are responsible for ensuring they have appropriate consent from their customers to share information through our platform.

We implement industry-standard security measures to protect your data, but no method of transmission over the Internet is 100% secure. You acknowledge and accept these inherent risks.

4. Access to the Site

Subject to these Terms, Skhedio grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Service for its intended purposes.

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time
• Restrict access to certain features or the entire Service
• Perform maintenance that may temporarily limit Service availability
• Update or change system requirements for accessing the Service

We will make reasonable efforts to provide advance notice of significant changes, but reserve the right to make immediate changes when necessary for security or legal compliance.

5. Age Requirements

You must be at least 18 years old to create a Business User account on Skhedio. End Users must be at least 16 years old to book services independently, or have parental/guardian consent if under 18.

Business Users are responsible for:

• Complying with local laws regarding services provided to minors
• Obtaining appropriate parental consent when required
• Verifying the age of their customers when legally required

6. Accounts and Security

When you create an account, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your contact information remains accurate and up-to-date

For Business Users: You may authorize staff members to access your account with limited permissions. You remain responsible for all actions taken by staff members under your business account.

We recommend using strong, unique passwords and enabling any available two-factor authentication options to protect your account.

Our Security Commitments

Skhedio implements industry-standard security measures to protect your account and data:

• Encrypted connections (TLS/SSL) for all data transmission
• Secure password hashing - we never store plain-text passwords
• Session protection with automatic timeout and secure cookies
• Rate limiting to prevent brute-force attacks
• CSRF and XSS protection on all forms and inputs
• Multi-tenant data isolation - your data is kept separate from other users
• Automatic session invalidation when you change your password

7. What You Are Allowed to Do

As an End User, you may:

• Search for and discover businesses on our platform
• Book appointments and services with registered businesses
• Manage your bookings, including rescheduling and cancellations per business policies
• Save favorite businesses and services
• Purchase and redeem gift cards where available
• Leave reviews and ratings for completed services

As a Business User, you may:

• Create and manage your business profile
• List services, staff members, and locations
• Set availability, pricing, and booking policies
• Accept and manage customer bookings
• Process payments and issue refunds
• Communicate with customers through the platform
• Create and distribute gift cards and promotional offers
• Access analytics and business insights

8. Our Promises

Skhedio commits to:

• Providing a reliable and secure platform for booking management
• Processing your personal data in accordance with our Privacy Policy
• Maintaining reasonable security measures to protect your information
• Providing customer support for platform-related issues
• Continuously improving our Service based on user feedback
• Being transparent about our pricing and any changes to our Service

While we strive to provide uninterrupted service, we cannot guarantee 100% uptime. We will make reasonable efforts to minimize disruptions and provide notice of planned maintenance.

9. What You Are Not Allowed to Do

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any local, state, national, or international law
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers connected to it
• Attempt to gain unauthorized access to any part of the Service
• Use any automated means to access or collect data from the Service
• Transmit viruses, malware, or other malicious code
• Harass, abuse, or harm other users or businesses
• Post false, misleading, or defamatory content
• Circumvent or manipulate our fee structure or billing systems
• Create multiple accounts to abuse promotions or circumvent restrictions
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam or unsolicited communications
• Scrape or copy content from the platform without permission

Violation of these prohibitions may result in immediate termination of your account and may expose you to legal liability.

10. User Content

"User Content" includes any text, images, photos, reviews, business descriptions, or other materials you submit through the Service.

You retain ownership of your User Content, but grant Skhedio a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and display such content for the purpose of operating and improving the Service.

You represent and warrant that:

• You own or have the right to use and share the User Content
• Your User Content does not infringe on any third-party rights
• Your User Content is accurate and not misleading
• Your User Content complies with all applicable laws

We reserve the right to remove or modify User Content that violates these Terms or that we deem inappropriate, without prior notice.

11. Intellectual Property

The Service, including its original content (excluding User Content), features, functionality, design, and technology, is owned by Skhedio and protected by copyright, trademark, and other intellectual property laws.

Our trademarks, service marks, logos, and trade names may not be used without our prior written consent. Nothing in these Terms grants you any right to use our branding or intellectual property.

If you believe any content on our Service infringes your intellectual property rights, please contact us with the details required under applicable law.

12. Booking Services

Skhedio facilitates bookings between End Users and Business Users. We are not a party to the service agreement between you and the business you book with.

For End Users:

• Bookings are subject to the individual business's policies and availability
• You agree to arrive on time and honor your bookings
• Cancellation and rescheduling policies are set by each business
• No-shows may result in charges or restrictions on future bookings

For Business Users:

• You are responsible for the services you provide to customers
• You must honor confirmed bookings unless legitimately prevented
• You must clearly communicate your policies to customers
• You are responsible for compliance with all applicable laws and regulations

13. Payments and Fees

Platform Subscription Fees (Business Users):

• Subscription plans are billed on a recurring basis (monthly or annually)
• All fees are quoted in the applicable currency and exclude taxes unless stated
• We reserve the right to change pricing with 30 days' notice
• Failed payments may result in service suspension or downgrade

Service Payments (End Users):

• Payments for services are made directly to the business at the time of your appointment
• Skhedio does not process payments between End Users and businesses
• Payment methods (cash, card, etc.) are determined by each business
• Gift cards purchased through Skhedio are subject to their specific terms

Payment Processing: Skhedio does not collect, store, or process payment card information. All subscription payments are processed securely through Stripe. Your payment details are entered directly on Stripe's secure page - Skhedio never sees or stores your card information.

14. Refunds and Cancellations

Platform Subscription Refunds:

• Monthly subscriptions may be cancelled at any time; service continues until the end of the billing period
• Annual subscriptions may be eligible for prorated refunds within 14 days of purchase
• Refund requests should be submitted through our support channels

Service Payment Disputes:

• Since payments for services are made directly to businesses, refund policies are set by each business
• Disputes about service quality or payment should be directed to the business
• Skhedio is not involved in payment transactions between End Users and businesses

Gift Cards: Gift cards are non-refundable except where required by law. Unused balances do not expire unless specified at purchase.

15. Third-Party Services

Our Service may integrate with or link to third-party services, including:

• Payment processors (Stripe)
• Communication services (email, SMS)
• Authentication providers (Google, Facebook, Apple)
• Map and location services (Google Maps)
• Analytics and marketing tools

Your use of third-party services is subject to their respective terms of service and privacy policies. Skhedio is not responsible for the content, accuracy, or practices of third-party services.

We do not endorse or assume responsibility for any third-party websites or services linked from our platform.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or freedom from viruses or malicious code

Skhedio does not guarantee:

• The quality of services provided by businesses on our platform
• The accuracy of business information, availability, or pricing
• That businesses will honor their bookings or policies
• Specific results from using the Service

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKHEDIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Costs of substitute services
• Any damages arising from your use or inability to use the Service
• Actions or omissions of businesses or other users on the platform

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

18. Indemnification

You agree to indemnify, defend, and hold harmless Skhedio and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses arising out of:

• Your violation of these Terms
• Your use of the Service
• Your User Content
• Your violation of any rights of another party
• Your violation of any applicable law
• Any dispute between you and a business or other user

19. Termination

By You: You may terminate your account at any time by contacting support or using the account deletion feature. Business Users should ensure they have fulfilled all outstanding bookings before termination.

By Us: We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We reasonably believe your conduct may harm us or other users
• Your account has been inactive for an extended period

Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through:

• Good faith negotiation between the parties
• If negotiation fails, mediation or arbitration in New Zealand
• The courts of New Zealand shall have exclusive jurisdiction

21. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Last updated" date at the top of this page
• We will notify you via email or through the Service
• We will provide at least 30 days' notice for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
